1. Agreement to Terms

By accessing or using the Stock Owl platform ("Service") operated by Owzars by ZN, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Stock Owl is an inventory and profit tracking platform designed for e-commerce sellers. Our Service allows you to:

• Connect and sync data from online marketplaces (Etsy, Amazon, eBay, etc.)
• Track inventory levels across multiple sales channels
• Calculate profit and loss per order, including fees and costs
• Generate reports and analytics for your business
• Receive inventory alerts and restock recommendations

3. Account Registration

To use our Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You must be at least 18 years old and have the legal capacity to enter into these Terms.

4. Marketplace Integrations

When you connect third-party marketplace accounts to our Service:

• You authorize us to access your data on those platforms via their official APIs
• You represent that you have the right to grant such access
• We access your data in read-only mode and do not take actions on your behalf
• You remain responsible for compliance with each marketplace's terms of service
• You can disconnect integrations at any time

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or attempt to extract source code

6. Data Accuracy

While we strive to provide accurate calculations and data synchronization:

• You are responsible for verifying the accuracy of data and calculations
• We do not guarantee that marketplace data will sync in real-time
• Profit calculations depend on the accuracy of costs you provide (COGS, operational costs)
• You should not rely solely on our Service for tax, accounting, or financial decisions

7. Intellectual Property

The Service, including its design, features, and content, is owned by Owzars by ZN, LLC and protected by intellectual property laws. You retain ownership of your data. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.

8. Payment and Subscriptions

Certain features of our Service may require a paid subscription. If applicable:

• Subscription fees are billed in advance on a recurring basis
• You authorize us to charge your payment method for all fees due
• Subscriptions automatically renew unless cancelled before the renewal date
• Refunds are provided in accordance with our refund policy

9. Termination

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OWZARS BY ZN, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION OR WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Owzars by ZN, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state and federal courts located in the State of Maryland.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
